These Terms & Conditions (“Terms”) govern your access to and use of https://unitpe.com and all unitpe websites, dashboards, APIs, products, and services (collectively, the “Services”) operated by Inster Payments Technology Private Limited (“Company”, “we”, “us”, “our”).
By creating an account, clicking acceptance, integrating via API, or otherwise accessing/using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
- Payments: Payment processing/settlement are provided through partner RBI-authorized Payment Aggregator(s) (currently: Easebuzz).
- Fintech Infrastructure: Banking rails are provided through partner regulated bank(s) (currently: IDFC Bank) and transactions execute through the Merchant’s bank account.
- unitpe does not hold, pool, or control Merchant or Customer funds.
- Partners may change (increase/decrease) at any time.
- Merchant = unitpe’s customer (business).
- Customer = Merchant’s customer (end user/payer).
- Partners = Payment Aggregators, banks, and other providers integrated into the Services.
- Documentation = API docs, policies, and guidance we publish.

1) Eligibility & authority
- The Services are intended for business use. You must be legally capable of entering contracts.
- If you use the Services on behalf of a Merchant, you represent you have authority to bind the Merchant.
- You must comply with all applicable laws, regulations, and Partner requirements applicable to your business.
2) Accounts, API keys & security
- You are responsible for all activity under your account, users, and API credentials.
- Keep credentials confidential. Notify us immediately at business@unitpe.com of suspected compromise.
- You must implement reasonable security practices in your environment (e.g., secure key storage, access controls, and secure integrations).
- We may set reasonable technical limits (rate limits, quotas, throttling) to protect the Services.
3) Services & changes
unitpe provides software, dashboards, and APIs that may include Payments products and Fintech Infrastructure products (including connected-banking tools, payout/payroll workflows initiated by Merchant, ERP/accounting integrations, and related tooling). Some features depend on Partner availability and approvals.
We may add, modify, suspend, or discontinue features at any time. Where appropriate, we may provide notice, but you acknowledge the Services may evolve.
4) Partner services & acceptance
Certain Services are enabled through Partners (e.g., Payment Aggregators for payment processing/settlement and banks for banking rails/transaction execution). To use Partner-powered features, the Merchant may be onboarded with the relevant Partner(s) and may be required to accept Partner terms, policies, and privacy practices.
- You authorize unitpe to submit and share required onboarding/KYC and operational information with Partners to enable Partner-powered features.
- Partner approvals, limits, compliance decisions, holds, and service availability are determined by Partners.
- Partners may change (increase/decrease). Continued use of Partner-powered features constitutes acceptance of updated Partner terms where applicable.
5) Merchant responsibilities & compliance
- You are responsible for your business, products/services, pricing, taxes, refunds, and customer support.
- You must ensure lawful basis and required notices/consents for any Customer/employee/vendor data processed using the Services.
- You must comply with Partner policies (including restricted/prohibited categories) and applicable laws.
- You must not use the Services for fraud, money laundering, illegal activities, or prohibited businesses.
6) Acceptable use & prohibited activities
- Do not reverse engineer, decompile, or attempt to extract source code (except where allowed by law).
- Do not bypass access controls, probe vulnerabilities without authorization, or disrupt the Services.
- Do not transmit malware or abusive traffic, or misuse APIs (e.g., scraping, brute force, credential stuffing).
- Do not infringe third-party IP rights or violate privacy/data protection laws.
7) Fees, billing, taxes
Fees (if applicable) will be described in an order form, subscription plan, invoice, or signed commercial agreement. Unless stated otherwise, fees are exclusive of applicable taxes (including GST). Partner fees and charges may apply separately under Partner terms.
Non-payment may result in suspension or termination of access, subject to any signed agreement.
8) Suspension & termination
We may suspend or terminate access immediately if we reasonably believe there is fraud, abuse, security risk, legal/compliance risk, non-payment, or breach of these Terms or Partner policies. Partners may also restrict or disable Partner-powered features based on their policies and decisions.
Upon termination, your right to use the Services ends. Sections intended to survive (including IP, confidentiality, disclaimers, limitation of liability, indemnity, and dispute clauses) will survive.
9) Intellectual property
The Services, software, Documentation, and related IP are owned by Inster Payments Technology Private Limited or its licensors. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes.
Third-party names, logos, and trademarks (including Partner marks) are the property of their respective owners. Use of such marks does not imply endorsement.
10) Confidentiality
Each party may receive confidential information of the other. You agree to protect our confidential information (including non-public Documentation, pricing, security details, and product roadmaps) with reasonable care and use it only to use the Services. Confidentiality obligations do not apply to information that is public through no fault, independently developed, or lawfully received from a third party.
11) Data & privacy
Our processing of Personal Data is described in our Privacy Policy. You acknowledge Partner services are governed by Partner terms and privacy policies.
12) Disclaimers
- The Services are provided on an “as is” and “as available” basis, subject to applicable law.
- We do not guarantee uninterrupted, error-free, or secure operation, and do not guarantee outcomes, approvals, or Partner decisions.
- Partner services are controlled by Partners; we are not responsible for Partner delays, holds, rejections, compliance actions, outages, or decisions.
13) Limitation of liability
To the maximum extent permitted by law, Inster Payments Technology Private Limited will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption arising out of or related to the Services or these Terms.
To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Services will not exceed the fees paid by the Merchant to Inster Payments Technology Private Limited for the Services in the three (3) months preceding the event giving rise to the claim, or INR 10,000, whichever is higher, unless a different limit is stated in a signed commercial agreement.
14) Indemnity
You agree to indemnify and hold harmless Inster Payments Technology Private Limited, its directors, officers, employees, and agents from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services, (b) your breach of these Terms or Partner terms, (c) your products/services or disputes with your Customers, or (d) your violation of law or infringement of third-party rights.
15) Force majeure
We are not liable for delays or failures caused by events beyond reasonable control, including outages, internet failures, natural disasters, war, strikes, epidemics, governmental actions, or Partner outages.
16) Governing law & dispute resolution
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Services shall be resolved through arbitration in Mumbai, Maharashtra, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed, in English. Courts at Mumbai shall have jurisdiction for interim relief and enforcement.
17) Miscellaneous
- Changes: We may update these Terms. Continued use after updates constitutes acceptance.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms as part of a business transfer.
- Severability: If any provision is unenforceable, the remainder remains effective.
- Entire agreement: These Terms, the Privacy Policy, and any signed commercial agreement/order form constitute the entire agreement regarding the Services.
- Notices: We may send notices via email, dashboard, or postings on the website.
